Terms and Conditions

These Terms and Conditions (the “Terms”) govern your access to and use of hedberginstitute.com and related Hedberg Institute websites, digital products, educational programs, courses, certification programs, communities, live events, and other services (collectively, the “Services”). By accessing or using the Services, creating an account, or purchasing a product or program, you agree to these Terms.

If you do not agree to these Terms, do not use the Services or complete a purchase.

1. About Hedberg Institute

Hedberg Institute provides advanced educational content and professional training in functional medicine and related health sciences. References in these Terms to “Hedberg Institute,” “we,” “us,” or “our” mean Hedberg Institute.

2. Eligibility and professional responsibility

Certain Hedberg Institute programs, including the Hedberg Framework Practitioner Certification (“HFPC”), are intended for healthcare practitioners and, where expressly permitted, students enrolled in a health-science field. We may request reasonable documentation of education, licensure, certification, professional status, or student enrollment.

You are solely responsible for practicing within the laws, regulations, licensure requirements, professional standards, and scope-of-practice rules that apply to you. Enrollment in or completion of any Hedberg Institute program does not expand your legal scope of practice.

3. Educational purpose; no individualized medical advice

The Services are provided for education and professional development. Content may discuss health conditions, laboratory testing, nutrition, supplements, botanical medicine, lifestyle interventions, clinical reasoning, and other healthcare topics. This information is not individualized medical, psychiatric, psychological, legal, financial, or other professional advice.

Hedberg Institute does not establish a clinician-patient relationship with you or your patients through the Services. You remain responsible for your own clinical judgment, patient assessment, informed consent, appropriate referral, monitoring, and all treatment decisions.

Medical knowledge changes over time. Although we strive to provide accurate and evidence-informed education, no educational program can guarantee that every statement, reference, recommendation, or resource will remain current, complete, or appropriate for every patient.

4. Accounts, access, and security

When an account is required, you agree to provide accurate and current information and to keep your login credentials confidential. A purchase or enrollment is licensed to the individual named on the account unless we expressly state otherwise.

  • Do not share your login, course access, or paid materials with another person.

  • You are responsible for activity occurring through your account.

  • Notify us promptly if you believe your account has been accessed without authorization.

We may suspend or terminate access when we reasonably believe an account is being shared, used fraudulently, used in violation of these Terms, or used in a manner that threatens the security or integrity of the Services.

5. Purchases, pricing, taxes, and payment plans

Prices, payment options, included features, and access periods are those displayed on the applicable sales or checkout page at the time of purchase. You agree to provide accurate billing information and authorize Hedberg Institute and its payment processors to charge the payment method you select.

Applicable sales, use, value-added, or similar taxes may be added when required by law.

If you choose an installment or payment plan, you authorize the scheduled charges shown at checkout. Unless a refund is approved under the applicable refund policy, a payment plan is a commitment to pay the full purchase price; stopping use of the program or requesting cancellation after the refund period does not cancel the remaining scheduled payments.

If a payment fails, is reversed, or is charged back, we may suspend access while the matter is resolved. You remain responsible for valid outstanding amounts owed under your purchase agreement.

6. Hedberg Framework Practitioner Certification refund policy

The Hedberg Framework Practitioner Certification currently includes a 7-day satisfaction guarantee. If you decide the program is not right for you, you may request a full refund within seven (7) calendar days of your original purchase date by emailing hello@hedberginstitute.com.

For an approved refund, access to the certification and associated member resources will be terminated. Any license to use downloaded course materials will also end, and you agree to delete or destroy copies of materials that are not otherwise publicly available.

After the 7-day refund period, payments are non-refundable except where required by applicable law. If you purchased through a payment plan, any remaining scheduled payments remain due after the refund period.

If a different refund policy is expressly stated on a specific product or checkout page, that product-specific policy will control for that purchase.

7. Certification requirements and use of the credential

A purchase of the HFPC does not by itself confer certification. To receive a certificate of completion and use the designation “Hedberg Framework Certified Practitioner,” you must satisfy the certification requirements in effect for your enrollment, which may include completion requirements, assessments, case-based work, or a final examination.

The Hedberg Framework certification is an educational credential issued by Hedberg Institute. It is not a government license, does not constitute specialty board certification, and does not represent approval by any licensing board, university, accrediting body, or continuing-education authority unless Hedberg Institute expressly states otherwise in writing.

You may accurately represent a credential you have earned, but you may not describe or advertise it in a way that is false, misleading, or likely to imply governmental or regulatory endorsement.

8. Intellectual property and permitted use

The Services and their contents—including videos, presentations, graphics, frameworks, diagrams, course text, assessments, protocols, worksheets, downloads, logos, trademarks, and other materials—are owned by or licensed to Hedberg Institute and are protected by intellectual-property laws.

Your purchase gives you a limited, personal, non-exclusive, non-transferable license to access and use the materials for your own education and professional practice, subject to these Terms.

Unless Hedberg Institute expressly authorizes it, you may not:

  • copy, reproduce, republish, sell, sublicense, distribute, upload, publicly display, or create derivative commercial training from course materials;

  • record, download, scrape, or systematically capture course content except through download functions we intentionally provide;

  • share paid resources, assessment questions, answer keys, or account access with colleagues, employees, students, groups, or online communities;

  • use Hedberg Institute trademarks, logos, or the Hedberg Framework branding in a way that implies sponsorship, partnership, or endorsement that has not been granted.

Patient handouts and practitioner tools that are specifically designated for clinical use may be printed, completed, or shared with your own patients as intended. That permission does not extend to redistributing the materials publicly, reselling them, posting them online, or incorporating them into another paid course or resource library.

9. Community, live sessions, and case discussions

Some programs may include community forums, Signal groups, Zoom meetings, Q&A sessions, case discussions, or similar interactive features. These spaces are professional learning environments.

  • Treat other participants respectfully and do not harass, threaten, defame, impersonate, spam, or engage in unlawful conduct.

  • Do not post advertising or solicit participants for unrelated products or services without permission.

  • Do not share another participant’s posts, questions, comments, recordings, or identifying information outside the community without permission.

  • Do not post protected health information or information that could reasonably identify a patient. De-identify case details before sharing them.

  • Do not use community discussions or live Q&A as a substitute for urgent medical care, formal supervision, legal advice, or patient-specific consultation.

We may moderate, remove, or restrict content or access when reasonably necessary to protect participants, patient privacy, intellectual property, program integrity, or compliance with law.

10. User submissions and feedback

You retain ownership of original content you submit to a private Hedberg Institute community. By posting it, you grant Hedberg Institute a limited, non-exclusive license to host, display, transmit, and moderate that content as reasonably necessary to operate the community and Services.

We will not use your name, likeness, testimonial, patient case, or private community contribution for public marketing without separate permission, except where disclosure is required by law.

Ideas or general feedback you voluntarily provide about improving the Services may be used by Hedberg Institute without an obligation to compensate you, provided we do not publicly identify you without permission.

11. Third-party platforms, links, and services

The Services may rely on or link to third-party platforms and providers, including website-hosting, payment-processing, video-conferencing, messaging, email, analytics, and course-delivery services. Your use of those third-party services may also be subject to their own terms and privacy policies.

Hedberg Institute is not responsible for third-party websites, services, outages, security practices, content, or transactions that we do not control.

12. Course updates, availability, and program changes

We may update, replace, reorganize, add, or retire lessons, resources, community features, instructors, delivery methods, or technology when we reasonably believe doing so improves the program, maintains accuracy, protects participants, or is necessary for operational, legal, or technical reasons.

We do not guarantee uninterrupted or error-free access. Temporary interruptions may occur because of maintenance, third-party service failures, internet outages, security events, or other circumstances beyond our reasonable control.

Any material change to a paid program that substantially affects the access or benefits promised at the time of purchase will be handled in a commercially reasonable manner and subject to applicable law.

13. No guarantee of clinical, professional, or financial results

Educational outcomes vary. Hedberg Institute does not guarantee that participation in a program will produce any specific patient outcome, clinical result, professional opportunity, income level, practice growth, licensing-board decision, reimbursement result, or other outcome.

Examples, case studies, testimonials, and practitioner experiences are illustrative and should not be understood as promises of results.

14. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” HEDBERG INSTITUTE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HEDBERG INSTITUTE AND ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF BUSINESS, OR LOSS OF GOODWILL ARISING FROM OR RELATED TO THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, HEDBERG INSTITUTE’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO A PAID SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO HEDBERG INSTITUTE FOR THAT SERVICE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

16. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Hedberg Institute and its owners, directors, officers, employees, contractors, and agents from claims, liabilities, damages, and reasonable costs arising from your unlawful use of the Services, your violation of these Terms, your infringement of another person’s rights, or materials you submit or distribute through the Services.

17. Suspension and termination

We may suspend or terminate access for material violations of these Terms, nonpayment, fraud, abuse, account sharing, threats to security, intellectual-property violations, patient-privacy violations, or conduct that materially disrupts the learning environment.

Termination does not eliminate payment obligations that accrued before termination or obligations that by their nature should survive, including intellectual-property restrictions, confidentiality obligations, disclaimers, limitations of liability, and governing-law provisions.

18. Privacy

Our collection and use of personal information is described in the Hedberg Institute Privacy Policy. By using the Services, you acknowledge that policy. The current Privacy Policy is available at hedberginstitute.com/privacy-policy/

19. Copyright complaints

If you believe material available through the Services infringes your copyright, please send a written notice with sufficient information to identify the copyrighted work, the allegedly infringing material, your contact information, and the basis for your claim to hello@hedberginstitute.com. We may request additional information necessary to evaluate the notice.

20. Governing law and disputes

These Terms and any dispute arising from or relating to them or the Services are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles, except to the extent another jurisdiction’s non-waivable consumer-protection law applies.

You and Hedberg Institute consent to the jurisdiction of courts of competent jurisdiction in North Carolina for disputes that are not otherwise resolved by agreement.

21. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will post the revised Terms and update the effective date. Where required by law or appropriate for a material change affecting an existing paid relationship, we may also provide notice by email or through the Services.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms, subject to any rights that cannot legally be waived.

22. General terms

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of that provision. You may not assign your account or rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or similar business transaction.

These Terms, together with any product-specific terms presented at purchase and the Privacy Policy, constitute the agreement between you and Hedberg Institute concerning the Services.
